(San Francisco, CA) — Elon Musk is accusing Twitter of “resisting” his right to know about fake accounts on the platform. The Tesla founder has been intending to purchase the social media company for $44 billion, but is threatening to back out of the deal.

Musk said the deal wouldn’t move forward until he had information about the number of fake accounts on the site, but some experts believe it’s a negotiation tactic to get a lower price.

A lawyer for Musk called Twitter’s resistance to provide the information a “clear material breach” of their merger agreement. The lawyer also wrote Musk has the right to terminate the transaction if he doesn’t receive the data.
